Poste Italiane: integration with Tim gets underway as rules for direction and coordination are approved

Five days after the close of the tender offer on TIM, Poste Italiane’s Board of Directors approves new guidelines governing relations between the two companies

Rome, 30 September 2026 – The Board of Directors of Poste Italiane – as reported by TG Poste – has resolved to commence the exercise of direction and coordination activities over TIM, while also approving the related Operational Governance Rules.. Following the close of the tender offer, which resulted in the Group led by Chief Executive Officer Matteo Del Fante and General Manager Giuseppe Lasco holding approximately 86% of TIM, the Board approved the document governing relations and information flows between the two companies, ensuring alignment and coordination between TIM and its subsidiaries as companies belonging to the Poste Italiane Group. TIM’s integration into Poste Italiane provides for the sharing of strategic objectives, coordination of industrial and management policies, and the integration of activities and expertise to support the development and value creation of the Group as a whole.

As clarified by the Poste Italiane news service, direction and coordination activities over TIM will be governed by the Board of Directors, the Chief Executive Officer and the General Manager through the exercise of the powers vested in them, as well as by Poste Italiane’s organisational structures within their respective areas of responsibility. The Rules provide for the centralised management of activities and functional coordination aimed at achieving economies of scale and improving process efficiency. Under the new organisational structure, Poste Italiane will therefore have full visibility of TIM’s main activities and initiatives and will be involved in advance in the assessment of transactions of major strategic significance – including material transactions – while preserving the legal autonomy of TIM and its subsidiaries, also safeguarding the interests of minority shareholders.

Just five days after the conclusion of the tender offer, Poste Italiane’s Board has therefore already set out the path ahead, opening a new phase that will guide TIM’s integration into the Group, with the aim of pooling infrastructure, technologies and expertise and developing new industrial synergies between the two groups.
